Together with our Privacy Policy, these terms govern your relationship with Climaxx Media Ltd ("we", "us", "our") in relation to this website, our talent marketplace platform, and any services we provide, including online training courses and casting access. If you do not agree with any part of these terms, please do not use this website or our services.

1. Introduction

1.1 About Us

1.2 Age Restriction

By accessing this site, you confirm that you are of legal age and agree to be bound by these Terms and Conditions in full. We take the protection of minors seriously. 2. Platform Overview & User Types

2.1 Marketplace Model

Climaxx Media Ltd operates as a marketplace platform connecting two types of users:

We provide the platform and tools to facilitate connections between performers and producers. We are: a listing and discovery platform; a communication facilitation service; and a payment processor for platform membership fees only.

We are NOT: an employment agency; a personal talent agent or representative; a party to contracts between users; a guarantor of work or payment; or a mediator of disputes.

2.3 Independent Contractor Status

All work arrangements made via the platform are between independent parties. No employment, agency, partnership, joint venture, or contractual relationship is created between performers, producers, creators and Climaxx Media Ltd.

2.4 Photo Identification & Age Verification

For the safety and security of our members and to comply with legal obligations, we reserve the right to request valid photo identification at any time. Valid identification includes and is limited to: a current passport; a current or provisional driving licence; or any other valid government-issued photographic identification. Failure to provide requested identification within 7 days may result in account suspension or termination without refund. All identification documents will be handled in accordance with UK GDPR and our Privacy Policy.

2.5 Account Security & Non-Transferability

Your account is personal to you and is non-transferable and non-assignable. You agree that you may not share your account password with anyone, sell, gift, or transfer your account to any other person, or allow others to use your account. Any use of the service through your account will be deemed as being used by you, and you are responsible for all activity on your account. You must notify us immediately of any unauthorised access. Violation of these provisions will result in immediate account termination without refund.

3. Subscription Services & Membership Tiers

3.3 Billing Terms

All subscriptions are provided on a month-by-month basis with no fixed-term commitment. Monthly recurring billing is via Stripe. Payment is due on the same day each month with automatic renewal unless cancelled. Failed payments result in immediate account suspension. You must keep valid payment details on file.

3.4 Free Account Limitations

Free accounts may be subject to reduced visibility in search results, periodic review and removal for inactivity (180+ days), removal without notice for capacity management, limited access to certain features or casting opportunities, and no customer support guarantee.

3.5 Membership Benefits Disclaimer

Membership benefits such as "homepage spotlight", "priority ranking", and "featured placement" are provided on a best-efforts basis and are not guaranteed. Actual visibility and placement depend on algorithm performance, competition from other members, technical limitations, platform capacity, and editorial discretion. We reserve the right to modify, reduce, or discontinue any membership benefits at any time with reasonable notice.

3.6 Fee Changes

We reserve the right to change our subscription fees at any time. Where we intend to increase fees, we will provide at least 30 days' written notice to affected subscribers via email to their registered email address. If you do not accept the new pricing, you may cancel your subscription before the change takes effect without penalty. Continued use of the platform after the effective date of a fee change constitutes acceptance of the new pricing.

4. Refund Policy & Consumer Rights

4.1 Statutory Cooling-Off Period (14 Days)

Under the Consumer Contracts Regulations 2013, UK consumers have 14 calendar days from the date of purchase to cancel their subscription for a full refund. This statutory right is lost if you access any premium features during the 14 days, explicitly request immediate access to paid features, or click "Activate Now" or similar action indicating immediate service start. By upgrading to a paid tier and accessing premium features, you acknowledge that you are requesting immediate performance of the service, you expressly waive your statutory right to cancel, and no refund will be provided after accessing premium features.

4.2 After the 14-Day Period

No refunds are provided after the 14-day cooling-off period for unused time in the current billing period, change of mind or dissatisfaction, lack of bookings or work opportunities, poor results or unmet expectations, technical difficulties on your end, or voluntary account closure.

4.3 Exceptions Where Refunds May Be Considered

Refunds may be considered at our sole discretion for billing errors (duplicate charges or incorrect amounts), total platform unavailability confirmed by our monitoring systems and exceeding 96 consecutive hours, or unauthorised charges subject to investigation. All refund requests must be submitted in writing within 7 days of the issue occurring.

4.4 Charge-Backs

You agree to contact us first to resolve any billing disputes before initiating charge-back or payment dispute proceedings with your bank or card issuer. Where a charge-back is initiated without first contacting us, we reserve the right to recover any reasonable costs incurred as a result.

4.5 Digital Course Sales

Due to the nature of digital content, all sales of online courses are final once access has been granted, content has been downloaded or streamed, or login credentials have been issued. We reserve the right to refuse refund requests unless required by UK consumer law.

5. Payment Structure & Booking Terms

5.1 Flat Membership Fee Model

Climaxx Media Ltd operates on a flat monthly membership fee basis. No commission is charged by Climaxx Media Ltd on any booking, whether arranged through the platform or otherwise. All booking fees, rates, and payment arrangements are agreed and transacted solely between the performer and producer as independent parties.

5.2 Platform's Role in Payments

We are not a party to the payment contract between the performer and the producer. We do not hold funds in escrow, process payments between performers and producers, guarantee producer payment to performers, mediate payment disputes, enforce payment terms between parties, or provide payment protection of any kind. All booking fees, rates, and terms are settled directly between performer and producer.

5.3 Booking Arrangements

All bookings arranged via the platform are private contractual matters between the performer and producer. We strongly recommend that all parties agree on terms in writing before any booking is confirmed, including agreed fee and payment method, shoot date, time, and location, content type and usage rights, cancellation and rescheduling terms, and any additional requirements. We accept no liability for the terms, performance, or outcome of any booking arrangement.

6. No Guarantee of Work, Bookings, or Earnings

6.1 Marketplace Reality

Membership provides profile listing and visibility, access to casting opportunities, search functionality based on membership tier, and platform tools and features. Membership does NOT guarantee any bookings, specific number of opportunities, any level of income or earnings, any response from producers, selection for any casting or project, any minimum profile views, any specific search ranking, or any work or employment of any kind.

6.2 Success Factors Outside Our Control

Your booking opportunities and success depend on numerous factors entirely outside our control, including overall industry demand, economic conditions, seasonal variations, your geographic location, competition from other performers, the quality of your profile, your rates and availability, your physical characteristics and specialities, and producer preferences and subjective opinions.

6.3 Realistic Expectations

The UK and European adult industry is highly competitive. Some members receive regular bookings, some receive occasional bookings, and some receive few or no bookings. Past performance of other members is not indicative of your likely results. We make no representations, warranties, or promises about potential earnings, success rates, return on membership investment, or career advancement.

6.4 Training Courses

Our training courses are educational products designed to improve industry knowledge and professional skills. Course completion may improve your understanding of the industry and your casting consideration. It does NOT guarantee work offers, create an employment relationship, entitle you to bookings or opportunities, or guarantee success in the industry.

6.5 No Employment Relationship

Membership does not create an employment relationship with Climaxx Media Ltd, fiduciary relationship, agency representation, obligation to offer work, partnership or joint venture, or any form of employment contract. All work arrangements are between independent contractors and are your sole responsibility.

7. Producer Vetting & Verification

7.1 Basic Verification Process

We conduct limited verification of producer accounts, which may include Companies House registration verification (for UK companies), VAT number validation if applicable, review of published work portfolio, identity verification documents, and basic legitimacy checks.

7.2 Critical Limitation of Verification

This verification is extremely limited in scope and does NOT constitute endorsement or approval, a guarantee of legitimacy or trustworthiness, assurance of payment capability or reliability, a background check, DBS check, or criminal record check, financial stability or credit verification, or due diligence on business practices.

7.3 Verified Badge

A "verified" badge means only that basic identity documents were provided. It does not mean we recommend this producer, that the producer is safe to work with, that payment is guaranteed, that the producer has a good reputation, or that no complaints have been received.

7.4 Performer's Sole Responsibility

You remain 100% solely responsible for researching producers before accepting bookings, conducting your own due diligence, verifying credentials and legitimacy independently, negotiating safe working conditions, ensuring compliance with all laws, and protecting your personal safety and well-being.

7.5 Recommended Safety Practices

We strongly recommend performers: research the producer's reputation independently; request references from other performers; meet in a public location first before committing to a shoot; review the full contract before signing; never pay fees to producers; inform a trusted person of the shoot location and schedule; verify identity and location before attending; and bring a chaperone or companion if allowed.

7.6 No Liability for Producer Actions

We accept zero liability for actions, conduct, or behaviour of any producer; payment disputes or non-payment; safety incidents, harm, or injury during productions; breach of contract by producers; misrepresentation or fraud; working conditions or treatment; content usage or intellectual property disputes; or any loss, harm, or damage arising from bookings. You assume all risks when accepting bookings via the platform.

7.7 Platform Response to Known Safety Risks

Where we become credibly aware that a producer presents a risk to performer safety, we will take such action as we consider appropriate in our sole discretion, which may include account suspension, removal, or notification to relevant authorities. Such action does not create a duty of care on our part towards any individual user. Performers remain solely responsible for their own safety and due diligence.

8. Prohibited Content & User Conduct

8.1 Strictly Prohibited Content

The following is absolutely forbidden on all profiles, uploads, communications, and platform usage:

Illegal content (zero tolerance): child sexual abuse material or any content involving minors; content depicting or promoting child exploitation; bestiality or animal sexual abuse content; non-consensual content (revenge porn, hidden cameras, sextortion); extreme violence, torture, or serious bodily harm; content violating UK criminal law or international law; and human trafficking or forced labour content.

Platform abuse: spam, unsolicited marketing, or bulk messaging; malware, viruses, or phishing attempts; impersonation of other persons or entities; false or materially misleading information; harassment, bullying, stalking, or threatening behaviour; hate speech, discrimination, or incitement to violence; intellectual property infringement; and unauthorised scraping or data collection.

Commercial violations: advertising competing services or platforms; attempting to circumvent the platform's subscription fee structure; sharing personal contact details to bypass the platform; selling or transferring account access; and creating multiple accounts to abuse the system.

8.2 Content Standards

All content must be legally created and owned or licensed by you, feature only consenting adults aged 18+, comply with UK law and international standards, be relevant to adult industry professional purposes, and not contain misleading or deceptive claims.

8.3 Enforcement & Consequences

8.4 User Reporting

You agree to immediately report any prohibited content or conduct observed on the platform. Failure to report may result in account restrictions.

8.5 Indemnification

You agree to indemnify, defend, and hold harmless Climaxx Media Ltd, its directors, officers, employees, and affiliates from any claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising from your content or conduct on the platform, your violation of these terms, your violation of any law or third-party rights, and claims by third parties related to your profile or actions.

8.6 Content Review & Moderation

We reserve the right to review all content both before and after upload. All uploaded content may be subject to pre-approval review. Review typically occurs within 24 to 48 hours of upload. If content is declined or removed, we will notify you via the platform interface or by email. You may appeal content decisions by submitting an appeal to support@climaxxmedia.com with "Content Appeal" in the subject line. All content moderation decisions are final. Approval of content at upload does not guarantee its permanent presence on the platform.

9. Platform Limitations & No Mediation Service

9.1 Neutral Marketplace Role

Climaxx Media Ltd operates as a neutral technology platform connecting two independent parties. We are not an employer or employment agency, a personal talent agent, a party to contracts between performers and producers, a mediator or arbitrator, a guarantor of payment or performance, a legal advisor, or a compliance consultant.

9.2 No Mediation Service Provided

We do not mediate disputes between performers and producers. If you have a dispute with another platform user, you must resolve it directly with the other party, seek independent legal advice if necessary, and use appropriate legal channels. We will not mediate or arbitrate disputes, provide opinions on dispute merits, share user contact details for legal service (except by court order), or take sides in user disputes.

9.3 Common Disputes We Do Not Mediate

Examples of disputes between users that we do not resolve include payment disputes (non-payment, disputed amounts, cancellation fees), contract disputes (breach of booking agreement, content usage rights, copyright claims, NDA violations), and working condition disputes (safety concerns, conduct during shoots, scope creep, schedule changes). These are private contractual matters between you and the other party.

9.4 Reporting Terms of Service Violations

You may report users for violations of our platform terms, including prohibited content, platform abuse, fraud or scams, and harassment or threatening behaviour. We will investigate reported violations and may take action against accounts. This is enforcement of platform rules, not mediation.

9.5 User Report & Investigation Process

Submit reports through our reporting system or contact support@climaxxmedia.com with "User Report" in the subject line, providing as much detail and evidence as possible. We endeavour to begin investigating within 1 working day and provide feedback within 5 working days. Possible outcomes include: no action, warning issued, content removal, temporary account suspension, or permanent account termination. If you remain dissatisfied, escalate via complaints@climaxxmedia.com. Escalated reports will be handled by senior management within 10 working days.

10. Account Termination & Suspension

10.1 Our Right to Terminate or Suspend

We reserve the absolute right to suspend or terminate any account at any time, with or without notice, for any reason, including serious violations such as prohibited content, fraud, or harassment; payment issues such as non-payment or charge-backs; and operational reasons such as prolonged inactivity (180+ days for free accounts), capacity management, quality control, or changes in business model.

10.2 Termination Process

Serious violations result in immediate permanent termination without warning or notice. Minor violations may follow progressive discipline: (1) written warning; (2) temporary suspension (7 to 30 days); (3) permanent termination.

10.3 Effect of Termination or Suspension

Upon termination or suspension: all platform access is immediately revoked; your profile is removed from public view; all membership benefits cease; no refunds are provided for the remaining subscription period; and user data may be permanently deleted after 30 days.

10.4 Post-Termination Obligations

Even after termination, you remain obligated to comply with confidentiality obligations, refrain from disparagement, not create new accounts without permission, and comply with all surviving terms.

10.5 Account Review Following Termination

Account termination decisions are made at our absolute discretion. While there is no formal appeals process, you may submit written representations within 14 days of notification of termination. We will consider such representations in good faith but are under no obligation to reinstate accounts. Our decision following any such review is final.

10.6 Data After Termination

Your profile data may be permanently deleted after 30 days. We may retain certain data for legal and accounting purposes for up to 7 years. You may request a copy of your data within 30 days (a fee may apply). After 30 days, data recovery is not possible.

11. Limitation of Liability & Disclaimers

11.1 Service Provided "As Is"

The platform and all services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, accuracy or reliability, availability or uptime, and error-free operation.

11.2 Maximum Liability Cap

In no event shall our total aggregate liability exceed: for paid accounts, the total amount you paid for membership in the 12 months immediately preceding the claim; and for free accounts, zero (£0.00). This cap applies regardless of the number of claims, the legal theory, or whether we were advised of the possibility of damages.

11.3 Consequential Damages Exclusion

We are not liable for any indirect, incidental, consequential, special, or punitive damages; lost profits; lost revenue; lost business opportunities; loss of goodwill; or reputational harm, even if advised of the possibility of such damages.

11.4 Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, government actions or regulations, internet or telecommunications failures, power outages, labour disputes, or pandemics or public health emergencies.

11.5 Your Assumption of Risk

By using the platform, you expressly acknowledge and agree that you use the platform entirely at your own risk, you are solely responsible for your interactions with other users and for your own safety and well-being, you assume all risks associated with adult industry work, and you have read and understood all disclaimers and limitations.

12. Intellectual Property

12.1 Platform Intellectual Property

All content on ClimaxxMedia.com and agency.climaxxmedia.com, including text, graphics, logos, images, video, software, code, and design, is owned by or licensed to Climaxx Media Ltd and is protected under the UK Copyright, Designs and Patents Act 1988 and other applicable intellectual property laws. You may not reproduce, distribute, modify, reverse engineer, or use platform content without prior written permission.

12.2 User Content Ownership

You retain all ownership rights to content you upload to your profile, including photographs, videos, text descriptions, and portfolio materials.

12.3 Licence Granted to Us

By uploading content to the platform, you grant Climaxx Media Ltd a worldwide, non-exclusive, royalty-free licence to use, reproduce, display, perform, and distribute your content solely for the purposes of operating and promoting the platform, displaying your profile to other users, and improving platform services. This licence terminates when you delete content or close your account, except for backup copies (deleted within 90 days) and marketing materials already published.

12.4 User Content Warranties

By uploading content, you warrant that you own all rights to the content or hold valid licences; the content does not infringe any third-party intellectual property rights; all persons depicted have provided valid consent and are aged 18+; the content complies with all applicable laws; and you have the authority to grant the licence above.

12.5 Copyright Infringement Claims

If you believe content on our platform infringes your copyright, send a written notice to support@climaxxmedia.com or to our registered office address, including your full contact information, a description of the copyrighted work, the specific location of the infringing content, a statement of good faith belief, and your signature.

13. Privacy & Data Protection

13.1 GDPR Compliance

Climaxx Media Ltd fully complies with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and the Privacy and Electronic Communications Regulations. Our UK ICO Registration Number is: ZB778270.

13.2 Your Data Rights

Under UK GDPR, you have the right to access, rectify, erase (subject to legal obligations), restrict processing of, port, object to, and withdraw consent for the processing of your personal data. To exercise these rights, contact: privacy@climaxxmedia.com.

13.3 Data Retention

We retain your data while your account is active, for up to 30 days after account closure for operational needs, and for up to 7 years after closure for accounting and legal requirements.

14. Cookies & Tracking

Our website uses cookies to enable essential site functionality, remember your login and preferences, provide analysis of site usage and performance, and improve user experience. By using our site, you consent to cookies as described in our Cookie Policy. You may disable cookies in your browser settings, but this may limit site functionality.

15. Third-Party Services & Links

We use third-party services including Stripe (payment processing), Digital Ocean (hosting), email service providers, and analytics tools. These services have their own terms and privacy policies and we are not responsible for their practices. The platform may contain links to external websites for convenience or information. External links do not constitute endorsement.

16. Modifications to Terms

We reserve the right to update, amend, or modify these Terms and Conditions at any time at our sole discretion. Material changes will be posted on this page with the effective date clearly indicated, notified by email to registered users where possible, and given 30 days' notice before taking effect where practicable. Your continued use of the platform after changes take effect constitutes acceptance of the updated terms.

17. Dispute Resolution & Governing Law

17.1 Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales for any disputes arising from these terms.

17.2 Informal Resolution First

Before initiating formal legal proceedings, both parties agree to contact the other party in writing, attempt good faith negotiation for 30 days, and consider mediation if negotiation fails. This requirement does not prevent either party from seeking urgent injunctive relief.

17.3 Formal Complaints Procedure

Tier 1 (Initial Complaint): Submit your complaint to support@climaxxmedia.com with "COMPLAINT" in the subject line, providing a detailed overview of what happened, the outcome you seek, and any relevant evidence. We will acknowledge within 2 working days and provide a full response within 10 working days.

Tier 2 (Escalated Complaint): If dissatisfied with our initial response, escalate to complaints@climaxxmedia.com with "ESCALATED COMPLAINT" in the subject line. Escalated complaints are handled solely by a director and reviewed within 10 working days. The director's decision is final.

18. Miscellaneous Provisions

These Terms and Conditions, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Climaxx Media Ltd regarding platform use. If any provision is found to be unenforceable or invalid, the remaining provisions remain in full force and effect. Our failure to enforce any provision does not constitute a waiver. You may not assign or transfer these terms or your account without our written consent.

20. Anti-Modern Slavery Commitment

Climaxx Media Ltd is committed to acting ethically, transparently, and with integrity in all aspects of our business operations. We recognise our responsibility to combat modern slavery, human trafficking, and exploitation in all forms.

Within our talent marketplace platform, we require photo identification for all users, verify the age of all performers (18+ only), conduct basic legitimacy checks on producers, and maintain zero tolerance for human trafficking, forced labour, exploitation of vulnerable persons, coercion or manipulation of performers, and any form of modern slavery.

21. Acknowledgement & Acceptance

By continuing to use this website or platform, or by purchasing any services, you confirm that you have read these Terms and Conditions in full, understood all provisions and limitations, accepted these terms without modification, agreed to be legally bound by these terms, confirmed you are 18+ years of age, and acknowledged all disclaimers and limitations of liability.
